Master Services Agreement & Terms of Service.
This Master Services Agreement ("Agreement") is a legally binding contract between 4P Global Holdings, Inc. ("CallCourty AI," "we," "our," or "us") and the law firm, legal professional, or commercial surety bail bond agency subscribing to or using the CallCourty AI services ("Subscriber," "Customer," or "you").
IMPORTANT NOTICE: THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE (SECTION 15) AND A CLASS ACTION WAIVER REQUIRING THAT ALL DISPUTES BE RESOLVED ON AN INDIVIDUAL BASIS BY BINDING ARBITRATION IN DALLAS COUNTY, TEXAS, RATHER THAN IN JURY TRIALS OR CLASS ACTIONS.
1. Scope of Services & Non-Exclusive License
Subject to the terms and conditions of this Agreement and timely payment of subscription fees, CallCourty AI grants Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use our proprietary cloud telephony platform, conversational voice AI intake models, carrier direct inward dialing ("DID") routes, and API webhook connectors (collectively, the "Services").
The Services are designed to answer inbound telephone inquiries, conduct preliminary informational intake interviews based on Subscriber's custom parameters, screen prospective matters for adverse parties, generate structured caller dossiers, transmit SMS notifications, and sync calendar appointments and intake dossiers into Subscriber's third-party practice management or surety software (e.g., Clio, Filevine, BailBooks).
2. Strict Disclaimer: Not a Law Firm & No Legal Advice
CALLCOURTY AI IS NOT A LAW FIRM, IS NOT A LAWYER REFERRAL SERVICE, AND DOES NOT ENGAGE IN THE PRACTICE OF LAW OR PROVIDE LEGAL ADVICE.
The Services operate solely as automated, technological communication and intake assistance. Telephonic communications between inbound callers and CallCourty AI voice agents do NOT create an attorney-client relationship between the caller and CallCourty AI, nor between the caller and Subscriber, until and unless Subscriber independently executes a formal written legal representation agreement with the caller.
CallCourty AI explicitly disclaims any evaluation of legal merits, legal claims, statutory viability, damages calculations, or guarantees of case acceptance. Subscriber agrees that it is solely responsible for determining whether to accept, reject, or refer any caller.
3. Supervised Non-Lawyer Assistance (ABA Model Rule 5.3 & State Ethics)
Pursuant to American Bar Association ("ABA") Model Rule of Professional Conduct 5.3 (Responsibilities Regarding Nonlawyer Assistance), ABA Formal Opinion 512 (Generative Artificial Intelligence Tools), and corresponding state professional conduct rules (including Texas Disciplinary Rules of Professional Conduct Rule 5.03):
- Subscriber retains exclusive supervisory responsibility and independent professional judgment over all intake scripts, screening questions, and triage workflows deployed via CallCourty AI.
- Subscriber must review, configure, and approve all substantive criteria used by CallCourty AI to qualify callers, check adverse parties, and schedule partner consultations.
- CallCourty AI hardcodes an automated non-attorney recording disclosure at the beginning of each call to ensure inbound callers understand they are interacting with an automated intake assistant. Subscriber agrees not to circumvent, alter, or disable this disclosure.
- Subscriber acknowledges that outsourcing administrative intake to CallCourty AI does not relieve Subscriber of its professional ethical obligations to maintain supervisory oversight of non-lawyer tools.
4. Texas Surety Bail Bond Compliance (Texas Occ. Code § 1704)
For Subscribers operating commercial surety bail agencies:
- Subscriber represents and warrants that it is duly licensed and in good standing with its respective County Bail Bond Board pursuant to Texas Occupations Code Chapter 1704.
- CallCourty AI provides automated intake coordination only. CallCourty AI does not issue bail bonds, does not act as a surety, does not execute powers of attorney, and does not post bond at detention facilities. All underwriting, execution of corporate surety powers, surrender decisions, and indemnitor approval remain the exclusive, non-delegable responsibility of Subscriber and its licensed agents.
- CallCourty AI strictly adheres to Texas statutory restrictions prohibiting unsolicited bail bond solicitation. The Services only answer inbound telephone calls initiated directly by callers or return calls where the caller submitted explicit digital contact requests. CallCourty AI will not engage in unsolicited outbound telephone marketing.
5. Call Recording, Wiretap Acts & Two-Party Consent
CallCourty AI records and transcribes inbound calls solely for quality monitoring, documentation, and transmission of intake dossiers to Subscriber.
To assist Subscriber in complying with the federal Wiretap Act (18 U.S.C. § 2511) and state wiretapping statutes (including "all-party" or "two-party" consent jurisdictions such as California Penal Code § 632, Florida Stat. § 934.03, and Texas Penal Code § 16.02), CallCourty AI plays an automated audible disclosure ("This call may be recorded for quality assurance and legal intake purposes") upon connection.
Subscriber Responsibility: Subscriber agrees never to disable, mute, or bypass recording notices. Subscriber represents and warrants that its use of call recording complies with all applicable local, state, and federal wiretap and eavesdropping laws in the jurisdictions where Subscriber and its callers reside. Subscriber agrees to indemnify and hold harmless CallCourty AI from any claims, civil actions, or regulatory penalties arising out of recorded telephone communications.
6. Telephone Consumer Protection Act (TCPA) & A2P 10DLC Messaging
Subscriber agrees to comply with the Telephone Consumer Protection Act (47 U.S.C. § 227) ("TCPA"), the Telemarketing Sales Rule, and cellular carrier A2P 10DLC registration requirements. Subscriber warrants that:
- Any outbound speed-to-lead callback or SMS text transmission initiated through the Services is directed solely to individuals who provided prior express written consent.
- Subscriber will honor all caller requests to opt out of SMS communications. CallCourty AI automatically processes standard opt-out keywords (STOP, CANCEL, UNSUBSCRIBE, QUIT).
- Subscriber shall not use CallCourty AI to send unsolicited bulk marketing text messages or prerecorded artificial telemarketing calls ("robocalls").
7. Subscription Plans, Bundles & Transparent Billing
Subscriber agrees to pay all fees associated with its selected subscription tier (Starter, Growth, or Scale) in accordance with published pricing or custom enterprise order forms.
- Flat Monthly Subscriptions & Call Bundles: Plans include designated monthly bundles of complete handled inbound calls. Calls within the bundle include full conversation duration with zero per-minute ticking clock or hold-time billing.
- Predictable Per-Call Overages: If Subscriber exceeds its monthly included call bundle, additional handled calls are billed on a flat, transparent per-call basis ($0.95 to $1.50 per additional call depending on tier). CallCourty AI does NOT impose per-minute telephone rate traps.
- Automatic Renewal: Subscriptions renew automatically each month or year unless canceled at least five (5) days prior to the renewal date via the dashboard or written notice to support@callcourty.com.
- Refund Policy: All subscription fees and provisioning charges are non-refundable once the billing period has commenced.
8. Customer Data Ownership & Zero AI Training Covenant
Customer Data Ownership: As between the parties, Subscriber retains all right, title, and interest (including all intellectual property rights) in and to all caller audio recordings, customer matter transcripts, client contact data, and custom scripts ("Customer Data").
CONTRACTUAL ZERO-TRAINING COVENANT: CallCourty AI explicitly covenants and agrees that Customer Data (including confidential attorney-client communications, work product facts, and inmate booking records) WILL NEVER BE USED TO TRAIN, FINE-TUNE, OR ENHANCE PUBLIC FOUNDATION MODELS, CONSUMER LLMS, OR SHARED DATASETS.
CallCourty AI utilizes Customer Data strictly to process live telephony, generate transcripts, execute conflict screenings, and deliver dossiers to Subscriber's designated software endpoints.
9. Confidentiality & Data Security Architecture
Each party agrees to protect the confidential information of the other party with the same degree of care it uses for its own sensitive information (and not less than a reasonable degree of care).
CallCourty AI maintains physical, administrative, and technical safeguards designed to protect Customer Data, including TLS 1.3 encryption in transit, AES-256 volume encryption at rest, and hosting in Tier-4 US data centers (Amazon Web Services and Cloudflare Enterprise) that maintain independent SOC 2 Type II and ISO 27001 data center certifications.
10. Acceptable Use & Prohibited Conduct
Subscriber agrees not to use the Services to:
- Engage in any fraudulent, unlawful, deceptive, defamatory, or harassing activity.
- Impersonate a court official, magistrate, law enforcement officer, or state agency.
- Probe, scan, or test the vulnerability of CallCourty AI infrastructure or bypass security mechanisms without prior written authorization.
- Decompile, reverse engineer, or disassemble any part of the CallCourty AI telephony engine or acoustic diffusion software.
- Resell, sublicense, or rent access to the Services to third-party call centers without an authorized agency partner agreement.
11. Disclaimers of Warranties
EXCEPT AS EXPRESSLY SET FORTH IN THE SERVICE LEVEL AGREEMENT (SLA), THE SERVICES ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS.
CALLCOURTY AI DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT TELEPHONY ROUTES WILL BE UNINTERRUPTED, DELAY-FREE, OR ERROR-FREE, OR THAT TRANSCRIPTION MODELS WILL BE 100% ACCURATE IN ALL ACCENTS OR AUDIO ENVIRONMENTS.
12. Limitation of Liability
WAIVER OF CONSEQUENTIAL DAMAGES: IN NO EVENT SHALL CALLCOURTY AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE TO SUBSCRIBER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF RETAINERS, LEGAL MALPRACTICE CLAIMS, LOSS OF REPUTATION, OR LOSS OF DATA), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AGGREGATE LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLCOURTY AI'S TOTAL CUMULATIVE AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY SUBSCRIBER TO CALLCOURTY AI IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR FIVE HUNDRED DOLLARS ($500.00), WHICHEVER IS LESS.
13. Indemnification by Subscriber
Subscriber agrees to defend, indemnify, and hold harmless CallCourty AI, 4P Global Holdings, Inc., and their respective officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, expenses, settlements, and legal fees arising out of or related to:
- Subscriber's legal practice, representation of clients, advice given or omitted, or claims of legal malpractice.
- Subscriber's surety bail bond underwriting, premium charges, bond forfeitures, or licensing disputes with County Bail Bond Boards.
- Any claim that Subscriber or CallCourty AI engaged in the unauthorized practice of law (UPL) as a result of Subscriber's intake instructions or failure to provide adequate non-lawyer supervision under Rule 5.3.
- Any violation of wiretapping statutes, two-party consent laws, or the TCPA arising from calls handled on Subscriber's lines.
- Subscriber's breach of any term or warranty of this Agreement.
14. Term, Suspension & Data Deletion
This Agreement commences on the date Subscriber registers an account or provisions a telephone number and continues until terminated by either party. CallCourty AI may suspend or terminate access immediately without notice if Subscriber breaches this Agreement, fails to pay fees, or engages in unlawful telecommunications activity.
Upon termination, Subscriber may export Customer Data for a period of thirty (30) days. Following this thirty-day period, CallCourty AI will permanently cryptographically purge all Customer Data from production databases in accordance with standard data sanitation practices.
15. Dispute Resolution, Mandatory Arbitration & Class Action Waiver
Informal Negotiation: Before filing any formal claim, the parties agree to participate in a mandatory 30-day good faith informal negotiation period.
Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to this Agreement or the Services shall be settled by binding arbitration administered by JAMS in Dallas County, Texas, under its Comprehensive Arbitration Rules and Procedures. Judgment on the arbitration award may be entered in any court having jurisdiction.
CLASS ACTION & JURY TRIAL WAIVER: THE PARTIES AGREE THAT ANY ARBITRATION SHALL PROCEED SOLELY ON AN INDIVIDUAL BASIS. SUBSCRIBER EXPRESSLY WAIVES ANY RIGHT TO PROCEED AS A CLASS REPRESENTATIVE, MEMBER OF A CLASS ACTION, OR PRIVATE ATTORNEY GENERAL. BOTH PARTIES EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY.
16. General Provisions
Governing Law: This Agreement is governed by the laws of the State of Texas, without regard to conflict of laws principles.
Severability: If any provision of this Agreement is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force.
Entire Agreement: This Agreement, together with the Service Level Agreement and Privacy Policy, constitutes the complete and exclusive understanding between the parties regarding the Services and supersedes all prior agreements or representations.
